Strategic review

We can provide a comprehensive top down or bottom up strategic review of your business, complete with market and competitor analysis, and based on sound research and financial analysis of all of the different options. Outputs include a clear and focused strategic direction. Our process is tailored to your needs.

Recent strategic reviews have been directed to answering the questions: What options create maximum shareholder value? How do we grow in our core business? Where does the highest potential exist, and how do we deliver this? What strategies are required to address market threats? What do we want the business to look like in 3 years, and how do we execute the strategies to get us there?

Strategic business planning

We work with your management team to build a clear and focused business plan, and to implement that plan. Our work typically takes the form of research, assessment and analysis of information sourced internally, externally, and from our own knowledge database.

Business analysis

This is often performed in conjunction with other services. Some examples include cost benefit analysis, assessment of project returns, synergies analysis, cashflow optimisation, ROI/RONA/ROE versus competitors.

Industry and market research

This is often undertaken in conjunction with a detailed strategic review. We provide deep analysis and assessment of the industry in which the client is active, and the opportunities within that industry. Our research is commercially focused and our recommendations are focused on possible outcomes for the client. This enables greater clarity in the decision making process and avoids information overload.

Competitor profiling and analysis

Utilising our experience, networks and research tools, we are able to provide detailed competitor profiles that assist clients to assess the competitive landscape, competitive threats and their positioning within an industry.

Business case development

In addition to compiling the business case, the SLM team can provide financial, strategic or market analysis in support of the business case and the decision making process.

Commercial due diligence

This is usually completed as part of a merger or acquisition transaction. We can coordinate a comprehensive financial, strategic or commercial due diligence, including a review of the target business plan or business segment, assessing the strategic rationale and the market assumptions under-pinning the transaction.

Forensic analysis and litigation support

We have undertaken forensic analysis for a variety of significant litigation matters, including family law, corporate class actions, commercial disputes and insider trading actions.

Expert reports – independent and non-independent, for listed and private companies

We provide expert reports for a variety of purposes including independent expert reports in relation to takeover actions under the Corporations Act, and for boards of private and publicly listed companies seeking an independent assessment of a corporate transaction. In these matters, we bring an independent view to the assignment.

Design and implementation of remuneration incentive plans including share and option plans, and remuneration benchmarking

We have provided a variety of remuneration benchmarking and reward structuring advice. This service is provided to both ASX listed and private company owners wishing to benchmark executive remuneration, and to create appropriate remuneration policies and incentive structures for boards and senior executives.

Negotiation and resolution of shareholder disputes
